This role is for an in-house VP, Legal Counsel position. The incumbent should be licensed to practice law in one or more states in which the company or its subsidiaries operate. The successful candidate will have at experience in corporate and business, commercial real estate finance and transactional matters. The individual in this role should demonstrate high academic achievement, strong communication and research skills, a curiosity to understand the risks and operations of the business, due diligence experience, and contract drafting and negotiation skills. This position will work across the commercial loan servicing, mergers and acquisitions and collaborate with a variety of legal team members, heads of business units, functional and business partners across the company in furtherance of the firm’s business objectives, reporting to Deputy General Counsel with a dotted line to the General Counsel.
Essential Job Functions:
Oversee the due diligence, schedules, and management with respect to corporate mergers and acquisitions as well as coordinate with outside counsel with respect to transaction documents.
Draft and negotiate commercial servicing and commercial loan agreements spanning across commercial real estate finance services groups, including Servicing Agreements, loan documents, consulting, and vendor agreements.
Manage the development and implementation of legal support of business unit operations in order to ensure compliance with contractual obligations and best practices and mitigate risk.
Manage litigation matters that arise in connection with threatened litigation, ongoing litigation, and subpoenas within the legal department.
Exhibiting the necessary curiosity to understand the business challenges, goals and objectives in order to issue spot in relation to client contract negotiation and contract compliance.
Assist in the administration of projects that arise in relation to mergers and acquisitions and contract compliance.
Provides timely advice and counsel to senior management by advising the business on laws, regulations, and company policies.
Work collaboratively from project initiation with internal and external counsel, consultants, and business unit staff on project assignments.
Follow effective processes to ensure that business and corporate transactions are conducted in a manner that accomplishes the strategic goals of the company while mitigating potential risk exposure, including monitoring the contract process to ensure compliance with the company’s contractual guidelines, satisfaction of customer specifications and adherence to company policy.
Collaborate with and manage outside counsel.

Qualifications/ Requirements:
Juris Doctor from an accredited law school
Membership in good standing of a state bar association as an attorney qualified to practice law in that state.
Minimum of 8+ years of industry and/or relevant experience, typically with 2+ years in an AVP level role or external equivalent.
Experience as in-house counsel or related law firm practice.
Experience with RIA, USPAP, and ERISA plan regulations, a plus.
Experience with Regulation AB, Items 1122 and 1123, and state servicing licenses, a plus.
Strong experience drafting and negotiating commercial contracts and corporate transactional.
Strong work ethic, superior organizational skills, and ability to handle multiple tasks in a fast-paced environment under time constraints and work well independently and as a collaborative team member.
Knowledge of and proficiency with LexisNexis and Microsoft Office applications
Excellent judgment and business acumen
Strong attention to detail and ability to problem-solve.
Ability to relate and work well with people of many cultures, disciplines, and levels of experience.
Excellent oral/written communication skills

Willingness to occasionally travel, as needed.

The annual full time base salary range for this role is
$140,000.00 - $190,000.00
Specific compensation is determined through interviews and a review of relevant education, experience, training, skills, geographic location and alignment with market data. Additionally, certain positions may be eligible to receive a discretionary bonus as determined by bonus program guidelines, position eligibility and SitusAMC Senior Management approval. SitusAMC offers PTO and paid holidays, the terms of which are set forth in the program policies. All full time employees also are eligible to participate in various benefit plans, including medical, dental, vision, life, disability insurance and 401K; in each case in accordance with the terms of the applicable plans.
