Google Corporate Paralegal in San Francisco, California
Minimum qualifications:
Bachelor's degree or equivalent practical experience.
5 years of legal work experience in a law firm, government, or in house legal department.
Experience with drafting and managing corporate documents such as Incorporation documents, Board and shareholder resolutions, Powers of attorney or Certificates of Officer.
Preferred qualifications:
Excellent communication and collaboration skills, with the ability to build relationships across the business at all levels.
Excellent problem-solving skills, with an ability to review and organize numerous documents in legal matters.
Excellent organizational skills, time management, and attention to detail with the ability to handle an environment and prioritize multiple projects/requests that are time sensitive.
Interest to work on a broad variety of legal and non-legal matters.
Possesses California Notary Commission or are willing to take California Notary exam.
As a Google Legal Specialist, you will assist Google’s Legal Team in managing all aspects of its corporate secretarial and corporate compliance and governance matters for its subsidiaries in the US; including the coordination of and preparation for subsidiaries' board meetings, compliance with applicable local laws, maintenance of corporate records, compliance with corporate governance policies and support for merger and acquisition transactions. You will work within fast-paced company as part of Google’s Americas Corporate Legal Team.
You provide support to the Legal Department on various legal and administrative matters within projects of moderate impact, risk, and complexity, managing information and documentation, conducting legal reviews, advising clients on risks and solutions, and improving processes. You address commonly escalated issues or triage by responding promptly and thoroughly to requests from inside and outside of the Legal Department while also developing and proactively implementing recommendations and solutions outside of established procedures to solve problems of moderate complexity based on user/client feedback. You interact with multiple groups within the Legal Department, with internal clients across Google, and with external parties, tailoring your communications to the specific audience.

The US base salary range for this full-time position is $102,000-$145,000 + bonus + equity + benefits. Our salary ranges are determined by role, level, and location. Within the range, individual pay is determined by work location and additional factors, including job-related skills, experience, and relevant education or training. Handle corporate expansions, liquidations, integrations and coordination of corporate compliance, governance and maintenance for Alphabet subsidiaries in the US region.
Plan and coordinate board/shareholder meetings in accordance with local statutory and regulatory requirements, including attending meetings, preparing board/shareholder documents, taking minutes, maintaining corporate records and internal databases. Ensure timely corporate and regulatory filings.
Point person for internal/external clients, prepare legal documents and lead training sessions.
Design, recommend and implement new processes and procedures for efficiency and provide guidance to ensure conformity and consistency in the application of Alphabet’s policies/practices. Ensure excellent corporate housekeeping, including tracking of documents, routing documents for signature and distribution, filing, data organization, and handling logistical matters such as corporate chopping, certification, notarization and the likes.
