Overview of Job Function:

The Associate Contracts Manager is responsible for preparing orders, standardizing repeatable provisions to be utilized in orders, nondisclosure agreements, and other matters related to customers and prospects. The position is also responsible for reaching a consensus through cross functional collaboration with Sales, Finance, and our customers. The Associate Contracts Manager is also responsible for drafting clear and precise terms to accurately reflect the business deal, and general understanding of legal and business concepts related to agreements.

Principal Duties and Essential Responsibilities:

  • Prepare drafts of order related terms, amendments, addenda, which are moderate to complex, non-routine contractual instruments. Ensure the preparation of terms is clear and concise to reflect the business deal and legal contractual concepts.

  • Manage, revise, and finalize all NDAs.

  • Consult with Contracts Managers and Attorneys and recommend alternative contract solutions.

  • Review, verify and maintain all required approvals for extraordinary provisions used in orders, amendments, etc.

  • Gain, through training, and maintain a current knowledge of software licensing terms and revenue recognition policies.

  • Initiate, build and maintain relationships with other Contract Managers, Attorneys, Sales, Finance, and any other relevant stakeholders.

Minimum Requirements:

  • Bachelor's degree in Business Administration or equivalent work experience.

  • 2-3+ years of experience in contract administration to include reviewing, drafting, modifying, and making recommendations to contracts.

  • Excellent communication skills. Listens, summarizes, and probes in order to create concise and open communication.

  • Excellent analytical and logical thinking skills. Addresses non-routing issues. Balances options to determine most appropriate actions. Initiates/facilitate contribution/input from others in order to achieve understanding and make sound informed decisions.

  • Good MS Office skills such as Word and PowerPoint with the ability to prepare and present as needed.

  • Ability to learn and maintain familiarity of software revenue recognition rules.

  • Ability to work semi-independently with general supervision and direction.

  • Ability to work in a global, team environment. Appropriately includes, consults, collaborates, and shares relevant information with team members effectively.

  • Very detail oriented and able to prioritize workload.

  • Ability to work in fast-paced and high-stress situations.

  • Limited domestic travel required for business meetings.

  • This is a US remote role with a preference to being based in Atlanta, GA.

  • Successful completion of a background screening process including, but not limited to, employment verifications, criminal search, OFAC, SS Verification, as well as credit and drug screening, where applicable and in accordance with federal and local regulations.

Preferred Requirements:

  • Contract administration experience in the technology industry and familiarity with software recognition rules.
