Purpose:

Acts as the Chief Compliance Officer for the U.S. broker dealer and Head of Corporate Functions Compliance, The role will lead and oversee the Markets Compliance and Corporate Functions Compliance teams in the United States. The Markets Compliance team provides compliance support to trading and sales businesses to ensure business strategies, plans and initiatives are executed / delivered in compliance with governing regulations, and internal policies and procedures. The Corporate Functions Compliance team ensures Scotiabank’s U.S. Operations are complying with applicable laws, regulations, SRO rules and have appropriate policies, procedures and controls relating to such requirements.

What You’ll Do:

  • Leads and drives a customer-focused culture by providing advice and compliance support to the U.S. trading and sales businesses which assists the businesses in delivering products and services in compliance with governing regulations and internal policies and procedures.

  • Performs the duties of a Chief Compliance Officer, as required by FINRA and SEC rules and is primarily responsible for the preparation of the SCUSA Annual Compliance and Supervisory Processes Report.

  • Manages compliance coverage for U.S. sales and trading businesses, including the BNS NYA primary dealer and government securities dealer, and support for conduct and complaints coordination.

  • Oversee the Compliance programs supporting the US Corporate Functions, including but not limited to: Employee Compliance Program; Operations; Finance; Human Resources; and Legal.

  • Assist with reviews and investigations of potential violations or breaches of applicable laws, regulation or internal policies involving corporate functions, including assisting with the identification of root causes and the development and implementation of remediation plans.

  • Works collaboratively with key stakeholders, including other Compliance functions, Internal Control, Regulatory Relations, Legal, Risk Management, and AML Compliance.

  • Informs and advises business line management on an ongoing basis on the impact, risks, and opportunities of significant new and amended laws and regulations.

  • Oversees the development and implementation of compliance policies, procedures, and internal controls consistent with legislative and regulatory requirements/expectations, emerging trends, and industry best practices.

  • Oversees the development and delivery of effective in-person and computer-based compliance training for front office staff in trading and sales on relevant legal, regulatory and compliance issues.

  • Oversees support provided by the Markets Compliance and Corporate Functions Compliance teams for the new business initiatives review process, the compliance risk assessment program, the Regulatory Library initiative, review and response to Internal Audit and Compliance Testing findings, the Conduct Risk program, responses to regulatory inquiries and examinations, and the U.S. supervisory framework.

  • Participates on the U.S. Compliance Risk Committee in the active oversight of the U.S. Compliance program and a Compliance representative in other governance forums, including the SCUSA Management Committee.

  • Understands how Scotiabank’s risk appetite and risk culture should be considered in day-to-day activities and decisions and directs day-to-day activities in a manner consistent with the risk culture and the relevant risk appetite statement and limits.

  • Coordinates across multiple management levels, jurisdictions, business lines and support functions to drive results.

  • Exercises sound judgement in identifying risks and proactively escalate issues to relevant senior management. Demonstrates strong leadership skills and successfully works in high performance teams. Possesses strong analytical and investigative skills and operates at a strategic level.

  • Creates an environment in which Compliance pursues effective and efficient operation in accordance with Scotiabank values and its Code of Conduct, while ensuring the adequacy and effectiveness of controls, adherence to and effectiveness of day-to-day business controls to meet obligations with respect to operational, compliance, AML/ATF/sanctions and conduct risk.

  • Builds a high-performance environment and implements a people strategy that attracts, retains, develops, and motivates the Markets Compliance team by fostering an inclusive work environment and using a coaching mindset and behaviors, communicating vison/values/business strategy, and managing succession and development planning for the team.

What You’ll Bring:

  • A minimum of 15 years of broker-dealer regulatory experience and at least 5 years of experience managing an advisory compliance team supporting trading and/or investment banking businesses.

  • Series 24 and/or Series 14 exam qualification required.

  • In depth understanding of applicable SEC, FINRA, and other securities and banking laws and regulations applicable to the Bank’s U.S. businesses and operations.

  • Experience interfacing directly with regulators.

  • Familiarity of Compliance coverage supporting Finance, Operations, and Corporate Functions.

  • Strong written and verbal communications abilities.

  • B.A. or international equivalent required. J.D. or M.B.A. desired but not required.
