Team Overview
Our Corporate Counsel team ensures ADF’s legal compliance and governance, providing essential support in corporate matters, contract management, and legal research. We work closely with internal departments to maintain legal integrity and support ADF’s mission.
Key Responsibilities
General Support: Assist Corporate Counsel team with corporate compliance, recordkeeping, and related programs. Organize and review documents for due diligence matters, draft correspondence and documentation, and support corporate litigation, mediation, and arbitration.
Matter Management: Administer the matter management program for the Corporate Counsel team, tracking deadlines, managing data, and creating reports.
Contract & License Management: Review and prepare initial drafts of contracts (vendor agreements, NDAs, employment contracts), track contract status, renewals, and manage the contract database. Oversee and renew the ministry’s corporate licenses.
Legal Research & Reporting: Conduct legal research on nonprofit corporate law issues, state, and federal regulations. Assist in preparing reports for executive leadership and the board of directors, and provide regular updates to the Deputy General Counsel on new legislation.
Document Preparation & Recordkeeping: Assist with filing corporate documents with relevant agencies, maintain accurate corporate records, and support audits and internal investigations as needed.
Compliance Support: Assist with implementing and maintaining corporate compliance programs, monitor regulatory changes, and ensure adherence to laws. Collaborate with HR, Finance, and other departments to ensure compliance with state and federal laws.
Minimum Qualifications
Associate degree, preferably in Paralegal Studies or related field (bachelor’s degree preferred)
5+ years of corporate paralegal experience
