Powell Industries, Inc. Contracts Manager in Houston, Texas

Powell is currently seeking a Contracts Manager at our Corporate office, located in Southeast Houston. A Contracts Manager is responsible for overseeing and managing all aspects of contracts within an organization. This includes drafting, negotiating, and reviewing contracts, as well as ensuring compliance with contractual obligations. The Contracts Manager works closely with various departments, such as legal, procurement, and finance, to ensure that contracts are executed effectively and efficiently. They also play a key role in mitigating risks and resolving any contractual disputes that may arise. Strong communication, negotiation, and analytical skills are essential for success in this role.

Essential Responsibilities

  • Assist in-house counsel in the development, negotiation and execution of purchase order terms and conditions (Sales, Service; Procurement), nondisclosure agreements, Software (SaaS) and licensing agreements, sales representative, consulting, staffing and other independent contractor agreements as well as other project specific agreements.

  • Review contracts to verify that they are compliant with the Company’s contracting policies, provide edits and alternative language and/or solutions as part of negotiations with customers and vendors.

  • Review contracts from a legal and commercial perspective to protect Company interests, while working closely with Legal, Sales, Project Management and Procurement groups.

  • Participate in the development and implementation of procedures for contract management and administration as well as tools to enhance the process, workflow, throughput, document retention, and sharing of best practices. Update the Company contract database by organizing and maintaining permanent records, reviewing and refining duplicated, outdated or incorrect records.

  • Provide training and education to individuals within the Company on various contract matters and best practices.

  • Review existing agreements to capture key data and contract clauses, identify inconsistencies and provide insight into discoveries to Legal.

  • Participate in various compliance initiatives pertaining to risk management, insurance, vendor audits and certifications and document management.

  • Develops, prepares, negotiates, reviews, and administers contracts, bids, and proposals that meet specifications and comply with all Company policies, directives and regulations.

  • Performs contract reviews and supports or participates in contract negotiations with sales, suppliers, partners, or customers to reach final negotiated terms and conditions governing the provision of goods and services.

  • Reviews contract terms to identify any potential risk or compliance issues which deviate from Company’s contract guidelines and risk tolerances.

  • Examines supporting materials and agreement documents related to bids or contracts and provides guidance to Project Managers and others in the formation and execution of contractual agreements.

  • Acts as liaison between the organization and subcontractors to implement the contracts.

  • Maintains document control over contracts and other records to ensure document integrity throughout the contract lifecycle.

  • Updates and maintains the contract database and related systems to comply with applicable law, codes and Company guidelines.

  • Advise Company leadership and various stakeholders throughout the contract lifecycle.

  • Self-monitor contract draft submittal dates according to the schedule of completion required by Sales and Procurement groups.

Minimum Qualifications

  • Bachelor's degree from an accredited university with 5+ plus years of significant contract drafting and negotiating experience.

  • Strong legal, commercial and contract review work experience.

  • Manufacturing and construction experience strongly preferred but not required.

Skills, Abilities & Other Requirements

  • Established problem solver who can identify issues to implement safeguards and solutions into contract documents.

  • Excellent reading, comprehension, research and computer skills

  • Strong written and oral communication skills to communicate complex legal concepts to non-legal personnel.

  • Proficiency in contract drafting/negotiations and identifying provisions which deviate from industry standard.

  • Attention to detail and the ability to spot contract errors, conflicts and inconsistencies among the respective contracting parties/tiers.

  • Self-starter with ability to multitask while maintaining work quality.

  • Proficiency with Microsoft Suite and Adobe Acrobat.

  • Excellent time management and organizational skills.

  • Willingness to work in an office setting (nearly full-time).

While performing the duties of this job the employee is required to perform extensive reading, writing, typing and oral communications, often required to sit, use computers, use fax machines, use copy machines, file paperwork, use telephones and utilize written and oral communication to interact with clients, vendors and co-workers.
