Duties:1. Advising on, structuring, and negotiating complex transactions for energy companies and private equity sponsors, including asset acquisitions, divestitures, mergers, joint ventures, corporate restructurings, purchase agreements, and plans of merger. Such matters typically involve stakes of multi-million and billion dollars. 2. Supervising, editing, and overseeing the drafting of all transactional documents, including purchase agreements, disclosure schedules, board consents, written consents, assignment agreements, joinder agreements, and ancillary agreements. 3. Managing the structuring, negotiating, and drafting of agreements including joint venture agreements, carbon sequestration agreements, hydrogen supply agreements, construction management agreements, as well as engineering, procurement, and construction (EPC) contracts, construction management agreements, OandM agreements, and power purchase agreements. 4. Leading the negotiation of LLC agreements, operating agreements, management agreements, and transition services agreements. 5. Conducting and managing due diligence processes to identify potential legal risks and liabilities associated with the deal, including review of corporate governance and formation agreements as well as transactional documents, and preparing due diligence memos. 6. Advising companies on deal structuring and risk management, including legal risks and liabilities associated with project financing, contract obligations, and operational aspects. 7. Advising companies on corporate governance and control matters affecting private equity investments. 8. Collaborating with internal specialists and external advisors, financial institutions, and regulatory agencies to navigate regulatory frameworks, antitrust considerations, and industry specific challenges in MandA deals as well as to facilitate deal closure. 9. Advising companies on post-closing activities, integration planning, and regulatory filings to ensure a smooth transition and compliance with legal requirements post-acquisition. 10. Supervising and managing transaction teams of three (3) or more junior-level or mid-level attorneys and/or paralegals in the performance of their duties, including supervising the work on ancillary transaction documents, reviewing research completed by junior- and mid-level attorneys, and coordinating work streams.

Requirements: Juris Doctor or LL.M. or its foreign equivalent plus 48 months of experience working in a legal position focusing on project development and mergers and acquisitions (MandA) transactions in the energy industry, including LNG, oil and gas, as well as renewable energy and energy transition matters; leading the drafting and negotiations of energy commercial transactions including sale and purchase agreements, corporate governance and formation documents including LLCAs and LPAs, asset purchase agreements, commercial agreements including EPC agreements, construction management agreements, transportation agreements, and operation agreements. Must be an attorney in good standing before the Texas State Bar. This position requires limited domestic travel (approximately 5-10% of the time) to attend meetings and closings or for business development purposes, including speaking and participating at conferences. The candidate must be available to work overtime and on weekends as needed to meet the demands of the complex MandA and private equity matters in which Weil represents its clients in several different time zones.
