ICON Clinical Research Corporate Governance and Company Secretarial Associate in Dublin, Ireland

At ICON, we have an incredible opportunity for a Corporate Governance & Company Secretarial Associate to join the team in in our HQ Leopardstown, Dublin office and is a permanent hybrid working role (office-based 3 days a week).

The Role:

The Corporate Governance & Company Secretarial Associate will work in the corporate governance team within the legal function providing company secretarial and corporate governance support services and assistance to all business stakeholders under the direction of Director of Corporate Governance, ESG and Deputy Company Secretary. The Corporate Governance team manage 275 entities in over 70 countries including the compliance requirements of ICON plc, the parent of the ICON Group, which is an Irish incorporated company listed in the US on the NASDAQ stock exchange.

• Prepare and file annual reports and corporate compliance filings for entities within the ICON Group globally.

• Manage and prioritise workload to comply with filing deadlines.

• Monitor and report on compliance.

• Preparation of board materials and uploading to board portal software.

• Assist with the executive share trading process and compliance with the Share Trading Policy and any other relevant policies.

• Assist with filing of press releases and completing necessary compliance procedures.

• Draft board minutes and related documentation.

• Filing and storage of board materials and company records.

• Maintain and update Diligent Entities database and corporate records for ICON Group.

• Manage team inbox and respond to queries from business units on company records and entity details.

• Prepare and update powers of attorney as requested by different service lines.

• Arrange execution, notarization and apostille etc. of minutes, powers of attorney and liaising with Department of Foreign Affairs and Embassies as required.

• Liaise with auditors and other professional advisors.

• Engage and liaise with external advisors (managing and minimizing costs to the extent possible) and manage the invoice process.

• Support restructuring and reorganisation of companies within the ICON Group.

• Ad hoc project work.

• To undertake other reasonably related duties and administrative tasks as may be assigned from time to time.

• Any other tasks as appropriate.

What you will need:

• Honors university degree preferably in legal, business or finance

• Chartered Governance Institute (Formerly ICSA) Chartered Secretary and Chartered Governance Professional qualified or part qualified or intending to complete the Chartered Governance Institute qualification process.

• Chartered Governance (Formerly ICSA) validated postgraduate programme an advantage

• Excellent time management and personal organisational skills

• Excellent interpersonal skills with the ability to build strong relationships across business functions and communicate in a professional manner at all levels within the organisation

• Excellent attention to detail

• Ability to work to deadlines, manage multiple projects and deliver under pressure to a high standard

• Good business and risk awareness skills and the ability to act/think strategically, logically and commercially

• Proven team player with demonstrated analytical and communication skills

• Strong problem-solving skills with the ability to quickly assess potential for risk and opportunity

• Self-starter with the ability to work under their own initiative with a strong work ethic

• Trustworthy, discreet and tactful while handling confidential and sensitive information

• Working knowledge of Microsoft Applications (Excel, Microsoft Word, Windows, etc.)

• Knowledge of Diligent (Blueprint) Software or an equivalent would be an advantage
