This position will serve as a primary counsel for the Life Sciences Market Access Platform (MAP) within Corning, including the Life Sciences and Pharmaceutical Technologies operating divisions. It will work closely with the MAP leader and the general managers of the operating divisions comprising the, as well as the leadership team within each operating division to help achieve business results while mitigating risk. The position will manage the legal activities for both operating divisions and across the MAP around the globe working in collaboration with region-based colleagues and support functions provided by other Centers of Excellence within the Corning Law Department (i.e., M&A, Intellectual Property, Litigation, Compliance, and Labor & Employment). This position will also engage and interact with other experts within the Law Department who advise and manage matters related to antitrust, securities, and ESG matters. This position will report directly to the Vice President – Commercial & International Law who oversees all commercial and international legal matters for Corning.

Scope of Position:

  • Manages all legal activities pertaining to the Life Sciences MAP across its multiple regions

  • Provides general corporate and commercial legal services to in-house clients

  • Demonstrates experience in general corporate matters, including business strategy development, drafting transactional documents & license agreements, regulatory compliance, corporate organization, familiarity with tax implications, exposure and understanding of basic employment law matters, risk management, contract management and related corporate approval requirements and processes

  • Acts as advisor on legal issues, including those relating to government affairs, government contract compliance, regulatory compliance, strategic transactions, and litigation matters

  • Coordinates legal matters handled by outside counsel, regional counsel, and other internal subject matter experts

  • Member of CLS and CPT leadership teams

  • Reports directly to Vice President of Commercial & International Law for Corning

Day to Day Responsibilities:

  • Business and legal counseling to senior management personnel in Corning’s Life Sciences MAP consisting of Corning’s Life Sciences and Pharmaceutical Technologies operating divisions

  • Provide advice and counsel on a wide range of business initiatives and issues in support of Corning’s Life Sciences MAP, with a particular focus on various strategic transactions

  • Negotiate a wide variety of commercial agreements, including supply agreements, distribution agreements, joint development agreements, joint ventures, and licensing agreements

  • Provide guidance regarding a variety of compliance issues, including those relating to ESG matters, FDA compliance, and HR issues

  • Support government contracting efforts and compliance, including with respect to existing government funding contracts

  • Coordinates legal matters handled by outside counsel, regional counsel, and other internal subject matter experts, including M&A and litigation matters

  • Engage with Senior Division Intellectual Property counsel and regional counsel to ensure coordination across the MAP and around the globe

  • Manage and update current contract templates and corresponding guidance and best practices

  • Coordinate training initiatives and material development

  • Keep informed of current laws, regulations and developments

Required Education: Juris Doctor degree

Required Years and Area of Experience: 10+ years of experience

Required Skills :

  • Ability to interact with senior management personnel

  • Negotiation and conflict resolution experience

  • Contract management experience

  • Requires strong written and oral communication and analytical skills, and the application of independent judgment and creativity in drafting, negotiating, and concluding contracts.

  • Ability to act quickly and decisively and create consensus

  • Ability to function independently under general guidelines and defined goals but with the judgment to know when and how to escalate issues

  • Excellent interpersonal skills

  • In-house experience at a technology or innovation company also preferred
